Express, Inc. (“Express” or the “Company”) announced that WHP Global, Simon Property Group, and Brookfield Properties have provided a letter of intent that contemplates an acquisition of a substantial majority of the Company’s retail stores and operations. To facilitate this sale process, Express and its subsidiaries filed voluntary Chapter 11 petitions in the U.S. Bankruptcy Court for the District of Delaware on April 22, 2024.
Express is continuing to serve customers in stores and online across its EXPRESS, Bonobos, and UpWest brands and expects to conduct business as usual as it works to right-size its lease portfolio and operations. The Company’s case has been assigned Case No. 24-10831 before the Honorable Karen B. Owens in the United States Bankruptcy Court for the District of Delaware.
On December 17, 2024, the Bankruptcy Court entered the Findings of Fact, Conclusions of Law, and Order Confirming the Joint Chapter 11 Plan of EXP OldCo Winddown, Inc. and its Debtor Affiliates (the “Confirmation Order”), pursuant to which the Bankruptcy Court approved and confirmed the Joint Chapter 11 Plan of EXP OldCo Winddown, Inc. and its Debtor Affiliates (the “Plan”).
