Case Background

On August 9, 2023, Amyris, Inc. and certain of its domestic subsidiaries (collectively, “Amyris” or the “Company”) initiated voluntary Chapter 11 proceedings in the U.S. Bankruptcy Court for the District of Delaware. The companies are jointly administered under Case No. 23-11131.

On August 21, 2023, three additional subsidiaries initiated voluntary Chapter 11 proceedings in the U.S. Bankruptcy Court for the District of Delaware. 

Amyris initiated the proceedings to move forward with an operational and financial restructuring to further advance its ongoing strategic transformation and position the Company for long-term success.

The restructuring is intended to improve the Company’s cost structure, capital structure, and liquidity position while streamlining Amyris’ business portfolio to focus on its core competencies in R&D and the scale-up, commercialization, and applications development of its sustainable ingredients derived through biofermentation.

Amyris has secured a commitment for $190 million of debtor-in-possession (“DIP”) financing to support continued day-to-day operations as the Company works with its key stakeholders to negotiate a consensual go-forward plan centered on Amyris’ core capabilities. Subject to Court approval and the DIP budget, this DIP financing will provide liquidity to help fulfill commitments to the Company’s valued employees, customers, partners, and vendors during the process.

On February 7, 2024, the Court entered Order Confirming Fourth Amended Joint Chapter 11 Plan of Reorganization of Amyris, Inc. and Its Affiliated Debtors [Docket No. 1251] (the “Confirmation Order”), confirming the Third Amended Plan of Reorganization of Amyris, Inc, and its Affiliated Debtors [Docket No. 1200] (the “Plan”).

On May 7, 2024, the Plan became Effective (as that term is defined in the Plan) and, among other things, Alexandre Zyngier, of Batuta Capital Advisors LLC, was appointed the Creditor Trustee of the AMRS Creditor Trust in accordance the Plan, the Confirmation Order, and the Creditor Trust Agreement. Among the Creditor Trustee duties, Mr. Zyngier has the authority to object to, compromise or settle any and all general unsecured claims.
