On May 28, 2025 (the "Petition Date"), Everstream Solutions LLC and certain of its affiliates (collectively, "Everstream" or the "Company") commenced voluntary chapter 11 cases in the U.S. Bankruptcy Court for the Southern District of Texas. The cases are jointly administered under Case No. 25-90144 and are pending before the Honorable Judge Christopher M. Lopez.
Everstream commenced the cases after reaching an agreement to sell substantially all of its operations to Bluebird Fiber, which was approved by the Court on August 1, 2025. Bluebird emerged as the winner with a prevailing bid of $384.6 million following a robust auction process. The transaction will enable the Company to advance its core market optimization strategy from a strengthened financial position. Completion of the sale is targeted by year end, subject to satisfaction of all closing conditions, including regulatory approvals.
Everstream continues to operate as usual, serving enterprise, wireless, and wholesale customers without interruption.
