On February 2, 2025 (the "Petition Date"), Liberated Brands LLC and eight affiliated debtors (collectively, the "Debtors") filed voluntary petitions for relief under Chapter 11 of the United States Bankruptcy Code. The Debtors’ bankruptcy cases are jointly administered under Case No. 25-10168 before Honorable Judge J. Kate Stickles in the United States Bankruptcy Court for the District of Delaware (the "Bankruptcy Court").

On February 5, 2025, the Bankruptcy Court entered an Interim Order (I) Authorizing the Debtors to Assume the Consulting Agreement, (II) Authorizing and Approving the Conduct of Store Closing Sales, with Such Sales to be Free and Clear of All Liens, Claims, and Encumbrances, (III) Approving Modifications to the Customer Programs, and (IV) Granting Related Relieft [Docket No. 89]. Accordingly, the Debtors implemented changes detailed in this Notice of Change of Customer Programs in all Closing Stores.
