On June 5, 2024 (the "Petition Date"), MRRC Hold Co. and two of its affiliates (collectively, the "Debtors") filed voluntary petitions for relief under Chapter 11 of the United States Bankruptcy Code. The Debtors’ bankruptcy cases are jointly administered under Case No. 24-11164 before the Honorable Craig T Goldblatt in the United States Bankruptcy Court for the District of Delaware (the "Bankruptcy Court").

On July 8, 2024, the Bankruptcy Court entered the Order Establishing Deadlines for Filing Proofs of Claim and Approving the Form and Manner of Notice Thereof (the "Bar Date Order").  Pursuant to the Bar Date Order, all Proofs of Claim must be filed so that they are actually received on or before August 14, 2024 at 11:59 p.m. (Eastern Time) (the “General Bar Date”); All governmental units holding claims that arose (or are deemed to have arisen) prior to the Petition Date must file Proofs of Claim, including claims for unpaid taxes, so that they are actually received on or before December 2, 2024 at 5:00 p.m. (Eastern Time) (the “Government Bar Date”).

On July 10, 2024, the Bankruptcy Court entered the Order (a) Approving Bidding Procedures for All or Substantially All of the Debtors’ Assets, (B) Authorizing the Debtors to Designate a Stalking Horse Bid, (C) Scheduling an Auction and Approving the Form and Manner of Notice Thereof, (D) Approving Assumption and Assignment Procedures, and (E) Scheduling a Sale Hearing and Approving the Form and Manner of Notice Thereof, and (F) Granting Related Relief (the "Bidding Procedures Order").  Pursuant to the Bidding Procedures Order, any Prospective Bidder (as defined in the Bid Procedures) that intends to participate in the Auction must submit in writing to the Bid Notice Parties (as defined in the Bid Procedures) a Bid on or before July 25, 2024, at 5:00 p.m. (prevailing Eastern Time) (the “Bid Deadline”).  The Auction, if required, will be conducted on July 30, 2024, at 11 a.m. (prevailing Pacific Time).  The Sale Hearing shall be held before the Court on August 5, 2024, at 3:30 p.m. (prevailing Eastern Time).

On May 5, 2025, the Debtors' bankruptcy cases were converted to cases under Chapter 7 of the Bankruptcy Code pursuant to the Notice of Conversion.
