On December 12, 2022 (the "Petition Date"), Sears Authorized Hometown Stores, LLC and one affiliated Debtor (collectively, the "Debtors") filed voluntary petitions for relief  under Chapter 11 of the United States Bankruptcy Code. The Debtors' bankruptcy cases are pending joint adminstration under Case No. 22-11303 and are pending before the Honorable Brendan Linehan Shannon in the United States Bankruptcy Court for the District of Delaware (the "Bankruptcy Court").

**Effective as of February 22, 2023 of this Order, pursuant to section 1112(a) of the Bankruptcy Code, the Debtors’ Chapter 11 Cases are converted to cases under chapter 7 of the Bankruptcy Code.**
